    Define what you will and will not deliver. Reference an attached SOW for engagement-specific detail.

  2. 02Payment Terms

    Net 15, Net 30, 50/50 - keep all three as variants of one Payment Terms clause.

  3. 03Commission

    No commission, flat percentage, or tiered. Variant swap per client.

  4. 04Intellectual Property

    Client-owned on payment is the default. Provider-retained license for portfolio rights as a variant.

  5. 05Confidentiality

    Mutual NDA is the safer default. One-way as a variant for asymmetric engagements.

  6. 06Term and Termination

    Specify start, end, and notice period for early termination.

  7. 07Limitation of Liability

    Cap total liability at fees paid in the prior 12 months. Standard for service contracts.

  8. 08Indemnification

    Each party indemnifies for its own negligence or breach. Adjust per engagement risk profile.

  9. 09Governing Law

    Pick your home state. Florida, Delaware, California are common defaults.

  10. 10Entire Agreement and Amendments

    Boilerplate that the executed document is the complete agreement and changes require writing.
